JourneyWise Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “your”) and JourneyWise Limited (“JourneyWise,” “we,” “our,” or “us”). JourneyWise Limited is a private limited company registered in the United Kingdom with Company Registration Number: 16140151, and registered office address: 2nd Floor, College House, 17 King Edwards Road, London, HA4 7AE.
By accessing or using the JourneyWise platform and services (“Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use or access the Service.
1. Definitions
- Account Information – Information provided by you to create, support, and maintain an account enabling access to the Service.
- JourneyWise Platform – The software and technology provided by JourneyWise to you under these Terms, including but not limited to our lead engagement, email tracking, analytics, and automation tools.
- Beta Services – Features, functionalities, or integrations that JourneyWise makes available for early testing, which may be labeled alpha,” beta,” pilot,” or developer preview.”
- “Contact Data” – Data provided by you to JourneyWise, including lead lists, engagement history, and communication logs.
- Output Data – Data, analytics, reports, and insights generated by the JourneyWise Platform based on your usage and input data.
- Third-Party Integrations – Services, applications, APIs, or software from external providers that integrate with the JourneyWise Platform (e.g., Google, Outlook, Microsoft 365, Zoom).
- User Content – Any materials, data, or information submitted by users within the Service, including emails, notes, and interactions with leads.
- Subscription Plan – A paid or free-tier access model that grants a user access to the JourneyWise Platform under the terms outlined in an Order Form or on the website.
2. Account Registration and Use
- Eligibility: You must be at least 18 years old to create an account. If registering on behalf of an organization, you must have authority to bind that organization to these Terms.
- Account Information: You must provide accurate and up-to-date information when registering. You are responsible for maintaining the security of your account credentials.
- Authorized Users: You may only allow employees, contractors, or agents authorized by you to access your JourneyWise account.
- Account Security: You are responsible for all activities that occur under your account. JourneyWise will not be liable for any unauthorized access.
- Prohibited Use: You agree not to:
- Use the Service for illegal activities, spam, harassment, or fraudulent purposes.
- Use the Service for unauthorized access or disruption of networks and systems.
- Attempt to reverse engineer or exploit any part of the Service.
- Share login credentials with unauthorized users.
- Violate any applicable laws or regulations.
3. Subscription Plans, Payments, and Fees
- Subscription Terms: By subscribing to a paid plan, you agree to the pricing, renewal, and payment terms outlined on our website or an Order Form.
- Billing: Fees are billed in advance on a monthly or annual basis. Your subscription automatically renews unless canceled at least 30 days before renewal (for annual plans) or before the next billing cycle (for monthly plans).
- Late Payments: If payment is not received on time, JourneyWise reserves the right to suspend or terminate access to the Service.
- No Refunds: Payments are non-refundable, except where required by applicable law.
- Changes to Pricing: JourneyWise may change pricing upon notice before the next renewal period.
4. Data Privacy and Security
- Data Ownership: You retain ownership of all Client Data that you upload to JourneyWise.
- Use of Data: By using the Service, you grant JourneyWise a license to process and analyze your data to provide insights, reporting, and automation features.
- Third-Party Integrations: You acknowledge that JourneyWise may integrate with third-party services (e.g., Google, Outlook, Zoom) and is not responsible for their data policies.
- Data Protection Laws: JourneyWise complies with UK GDPR, Data Protection Act 2018, and applicable privacy laws. See our [Privacy Policy] for more details.
- Security Measures: JourneyWise implements industry-standard security practices, but you are responsible for safeguarding your login credentials.
5. Acceptable Use and Restrictions
- To use the Service solely for legitimate business purposes.
- To comply with all applicable laws, including anti-spam laws (CAN-SPAM, GDPR, TCPA, CASL, PECR).
- Not to sell, share, or distribute Output Data to third parties without explicit authorization.
- Not to send unsolicited bulk messages.
6. Beta Services and Third-Party Integrations
- Beta Services: JourneyWise may offer Beta Services for testing, which are provided “as-is” without guarantees. Beta Services may be discontinued at any time.
- Third-Party Integrations: You acknowledge that third-party services (e.g., Google, Microsoft, Twilio) may have their own terms of service and privacy policies, which govern your use of those services within JourneyWise.
- Limitations: JourneyWise is not liable for service failures, data loss, or security breaches caused by third-party integrations.
7. Service Termination and Suspension
- Termination by You: You may cancel your subscription at any time, but no refunds will be issued for the remaining subscription period.
- Termination by JourneyWise: We reserve the right to suspend or terminate accounts that violate these Terms, fail to make payments, or engage in abusive behavior.
- Data Retention: Upon termination, your data may be retained for a limited period before permanent deletion.
- Inactive Accounts: JourneyWise may deactivate free accounts with 6+ months of inactivity.
8. Disclaimers and Limitation of Liability
- No Warranty: The JourneyWise Platform is provided “as-is” and “as available” without warranties of any kind.
- No Liability for Indirect Damages: In no event shall JourneyWise be liable for indirect, incidental, special, consequential, or punitive damages.
- Maximum Liability: Our total liability under these Terms shall not exceed the amount paid by you to JourneyWise in the past 12 months.
9. Governing Law and Dispute Resolution
- Jurisdiction: These Terms are governed by the laws of England and Wales.
- Dispute Resolution: Any disputes shall be resolved through binding arbitration in London, UK.
- Class Action Waiver: You agree not to participate in class action lawsuits against JourneyWise.
10. Indemnification
You agree to indemnify and hold JourneyWise, its officers, employees, and partners harmless from any claims, damages, or liabilities arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your failure to comply with privacy laws or marketing regulations.
11. Updates to These Terms
JourneyWise may modify these Terms at any time by posting an updated version on our website. Continued use of the Service after changes are posted constitutes acceptance of the new Terms.
